MixR Holdings Inc. Affiliate Program Terms and Conditions

Chapter 1: Introduction

1. Program Overview

These Affiliate Program Terms and Conditions ("Affiliate Terms") govern your participation in the MixR Holdings Inc. ("MixR," "we," "us," or "our") Affiliate Program (the "Program"). By participating in the Program, you agree to be bound by these Affiliate Terms, as well as our general Terms and Conditions of Use and Privacy Policy.

The Program allows eligible participants ("Affiliates") to earn rewards by referring users to MixR's platform and services. Affiliates receive unique affiliate links that track referrals and conversions.

2. Acceptance of Terms

By clicking "Accept" or by using any affiliate features, you acknowledge that you have read, understood, and agree to be bound by these Affiliate Terms. If you do not agree to these Affiliate Terms, you must not participate in the Program or use any affiliate features.

MixR reserves the right to modify these Affiliate Terms at any time. Material changes will be communicated to Affiliates, and continued participation in the Program after such changes constitutes acceptance of the modified terms.

3. Eligibility

To participate in the Program, you must:

1. Be at least 18 years of age
2. Have a valid MixR account in good standing
3. Comply with all applicable laws and regulations
4. Not be located in a jurisdiction where participation is prohibited
5. Accept and comply with these Affiliate Terms

MixR reserves the right to refuse participation to any individual or entity at our sole discretion.

Chapter 2: Program Rules and Guidelines

4. Affiliate Links

As an Affiliate, you will receive unique affiliate links that track referrals to MixR's platform. You agree to:

1. Use only the affiliate links provided through the official MixR affiliate system
2. Not modify, alter, or manipulate affiliate links in any way
3. Not use affiliate links in a manner that violates any applicable laws or regulations
4. Not engage in fraudulent, deceptive, or misleading practices

5. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination from the Program and forfeiture of all pending rewards:

1. Self-referrals or creating fake accounts to generate conversions
2. Using automated systems, bots, or scripts to generate clicks or conversions
3. Spam, unsolicited emails, or other forms of harassment
4. Misrepresenting MixR's products, services, or brand
5. Using affiliate links in connection with illegal, harmful, or offensive content
6. Violating intellectual property rights of MixR or third parties
7. Engaging in any form of click fraud or conversion manipulation
8. Using paid advertising that violates platform policies (e.g., trademark bidding)

6. Conversion Tracking

Conversions are tracked through cookies and other tracking technologies. MixR will attribute conversions to your affiliate account based on:

1. Valid clicks on your affiliate links
2. Completed purchases or actions within the attribution window
3. Compliance with all Program rules and guidelines

MixR reserves the right to review, verify, and approve or reject any conversion at our sole discretion. Conversions may be rejected if they are determined to be fraudulent, invalid, or in violation of these Affiliate Terms.

Chapter 3: Rewards and Payments

7. Reward Structure

Affiliates may earn rewards in the form of:

1. Loyalty points that can be redeemed on the MixR platform
2. Cashback in USD credited to your account

The specific reward amounts, rates, and structures are determined by MixR and may vary based on the type of conversion, product category, or promotional periods. MixR reserves the right to modify reward structures at any time with reasonable notice.

8. Reward Approval

All conversions are subject to review and approval by MixR. Rewards are only credited after:

1. The conversion has been verified and approved
2. The return/refund period has expired (if applicable)
3. No fraudulent activity has been detected

Pending conversions may be rejected if they do not meet our approval criteria. You will be notified of rejected conversions, and you may contact us to dispute rejections within 30 days.

9. Payment Terms

Approved rewards are credited to your MixR account according to the following terms:

1. Loyalty points are credited immediately upon approval
2. Cashback is credited to your account balance upon approval
3. Rewards are subject to applicable taxes, which are your responsibility
4. MixR reserves the right to withhold or delay payments if fraud is suspected

10. Forfeiture of Rewards

You will forfeit all pending and future rewards if:

1. You violate these Affiliate Terms
2. Your account is terminated or suspended
3. Fraudulent activity is detected
4. You engage in prohibited activities

Chapter 4: Intellectual Property

11. License to Use Materials

MixR grants you a limited, non-exclusive, non-transferable, revocable license to use our trademarks, logos, and marketing materials solely for the purpose of promoting MixR in connection with the Program. This license:

1. Is limited to approved promotional activities
2. Does not grant ownership of any intellectual property
3. May be revoked at any time at MixR's discretion
4. Requires compliance with our brand guidelines

12. Restrictions

You may not:

1. Modify or alter MixR's trademarks, logos, or materials
2. Use MixR's intellectual property in a manner that suggests endorsement or partnership beyond the Program
3. Register domain names or social media handles that include MixR trademarks
4. Create derivative works based on MixR's intellectual property

Chapter 5: Termination

13. Termination by Affiliate

You may terminate your participation in the Program at any time by ceasing to use affiliate links and notifying MixR of your withdrawal. Approved rewards earned prior to termination will be credited to your account.

14. Termination by MixR

MixR may terminate your participation in the Program at any time, with or without cause, by providing notice to you. MixR may immediately terminate your participation if:

1. You violate these Affiliate Terms
2. You engage in fraudulent or prohibited activities
3. You breach any applicable laws or regulations
4. Your account is suspended or terminated

15. Effects of Termination

Upon termination:

1. Your right to use affiliate links and participate in the Program immediately ceases
2. Pending conversions may be reviewed and approved or rejected at MixR's discretion
3. You must immediately cease using MixR's trademarks, logos, and marketing materials
4. All licenses granted to you are immediately revoked

Chapter 6: Disclaimers and Liability

16. Disclaimers

THE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MixR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MixR does not guarantee:

1. That the Program will be uninterrupted or error-free
2. That conversions will be approved or credited
3. Specific reward amounts or rates
4. That affiliate links will generate any conversions

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MixR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE PROGRAM, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, OR LOST DATA.

MixR's total liability to you for all claims arising out of or related to the Program shall not exceed the total amount of rewards paid to you in the twelve (12) months preceding the event giving rise to the liability.

18. Indemnification

You agree to indemnify, defend, and hold harmless MixR, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

1. Your participation in the Program
2. Your use of affiliate links
3. Your violation of these Affiliate Terms
4. Your violation of any applicable laws or regulations
5. Your infringement of any third-party rights

Chapter 7: Miscellaneous

19. Governing Law

These Affiliate Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising out of or related to these Affiliate Terms or the Program shall be resolved in the state or federal courts located in Delaware.

20. Entire Agreement

These Affiliate Terms, together with our general Terms and Conditions of Use and Privacy Policy, constitute the entire agreement between you and MixR regarding the Program and supersede all prior agreements, understandings, or representations.

21. Severability

If any provision of these Affiliate Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

22. Waiver

No waiver of any term or condition of these Affiliate Terms shall be deemed a further or continuing waiver of such term or any other term. MixR's failure to assert any right or provision under these Affiliate Terms shall not constitute a waiver of such right or provision.
